Terms of Service for Job Seekers

1. Acceptance of Terms

These Terms of Service ("Terms") are a legal agreement between you and Vesta AI, a company registered in Puerto Rico ("Vesta," "we," "us," or "our"). By accessing or using https://www.vestajobs.com (the "Platform"), creating an account, or applying for jobs, you agree to these Terms.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE PLATFORM. By using the Platform, you represent that you are at least 18 years old and have the legal capacity to enter into this agreement.

2. Description of Platform

Vesta Jobs is a job marketplace platform that connects job seekers with employers. We provide technology services to facilitate job applications and AI-powered interviews. WE ARE NOT AN EMPLOYER, EMPLOYMENT AGENCY, OR RECRUITER. We do not make hiring decisions, conduct employment screening beyond what is disclosed, or have any employment relationship with you.

The Platform allows you to:

  • Create a profile and upload your resume
  • Search for job opportunities posted by employers
  • Apply for jobs directly with employers
  • Participate in AI-powered voice interviews (if required by employer)
  • Track your applications and receive notifications

We reserve the right to modify, suspend, or discontinue any part of the Platform at any time without notice or liability.

3. Understanding Your Relationship with Employers

⚠️ Critical: Direct Employer Relationship

When you apply for a job through our Platform, YOU ARE APPLYING DIRECTLY TO THE EMPLOYER, not to Vesta AI. The employer:

  • Controls the job posting and hiring process
  • Makes all hiring decisions
  • Is responsible for compliance with employment laws
  • Controls your application data once submitted
  • Is responsible for their own conduct and practices

Vesta AI is not liable for:

  • Employer hiring decisions or employment practices
  • Job posting accuracy, completeness, or legitimacy
  • Employer compliance with employment, labor, or anti-discrimination laws
  • Employer conduct, communications, or treatment of applicants
  • Compensation, benefits, or working conditions offered by employers
  • Disputes between you and employers
  • Employer misuse of your personal information

4. Your Account

4.1 Account Registration

To use the Platform, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate
  • Maintain the security of your password and account
  • Notify us immediately of any unauthorized account access
  • Accept responsibility for all activities under your account

4.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials. We are not liable for any loss or damage from your failure to maintain account security.

4.3 Account Termination

We may suspend or terminate your account at any time for any reason, including violation of these Terms, fraudulent activity, or abuse of the Platform. You may delete your account at any time through account settings or by contacting support@vestajobs.com.

5. Acceptable Use

You agree to use the Platform only for lawful purposes. You agree NOT to:

  • Provide False Information: Submit false, misleading, or fraudulent information in your profile or applications
  • Impersonate Others: Impersonate any person or entity, or falsely represent your affiliation
  • Abuse the System: Submit spam applications, mass apply without genuine interest, or abuse employer messaging
  • Violate Laws: Violate any applicable local, state, national, or international law
  • Infringe Rights: Infringe on intellectual property rights, privacy rights, or other rights of others
  • Harm Others: Harass, abuse, threaten, or harm other users or employers
  • Upload Malicious Content: Transmit viruses, malware, or any harmful code
  • Scrape Data: Use automated systems, bots, or scripts to scrape or download data
  • Reverse Engineer: Reverse engineer, decompile, or attempt to access source code
  • Circumvent Security: Attempt to gain unauthorized access to the Platform or other user accounts
  • Resell Services: Resell or commercially exploit the Platform without written permission

6. Application Submissions and Accuracy

6.1 Truthfulness and Accuracy

You represent and warrant that all information you provide in your profile, resume, and applications is:

  • True, accurate, current, and complete
  • Your own original work or properly attributed
  • Not misleading or fraudulent
  • Not in violation of any third-party rights

6.2 Consequences of False Information

Providing false or misleading information may result in:

  • Immediate account termination
  • Permanent ban from the Platform
  • Notification to employers to whom you applied
  • Legal consequences under applicable fraud laws

6.3 Application Submission

When you submit an application, you authorize us to share your information with the employer as described in our Privacy Policy. Once submitted, you cannot edit applications, but you may withdraw them through your account dashboard.

7. AI-Powered Interviews

7.1 Participation and Consent

Some jobs may require AI-powered voice interviews. Before participating:

  • You will receive clear notice that an AI interview is required
  • You must provide explicit consent to record and analyze your voice
  • You may decline to participate, though this may affect your application

7.2 Interview Conduct

During AI interviews, you agree to:

  • Provide your own original responses (no impersonation or assistance)
  • Participate honestly and in good faith
  • Not record, screenshot, or share interview questions
  • Not use unauthorized assistance, scripts, or AI tools to generate responses
  • Complete interviews in a quiet environment without interruptions

7.3 AI Assessment Disclaimers

⚠️ Critical: Understanding AI Limitations

You understand and agree that:

  • AI Is Not Perfect: AI assessments may contain inaccuracies, errors, or biases
  • Recommendations Only: AI provides recommendations; employers make all final hiring decisions
  • No Guarantees: AI scores do not guarantee job offers or employment outcomes
  • Multiple Factors: Employers consider many factors beyond AI assessments
  • Continuous Improvement: Our AI is continuously improved but cannot eliminate all potential bias

7.4 Data Usage for AI Training

By participating in AI interviews, you consent to your interview data (recordings, transcripts, assessments) being used to train and improve our AI models. This data may be retained indefinitely in anonymized or aggregated form.

8. Intellectual Property

8.1 Platform Ownership

The Platform and all its content, features, and functionality (including but not limited to software, text, designs, logos, AI models) are owned by Vesta AI and are protected by copyright, trademark, and other intellectual property laws.

8.2 Your Content

You retain ownership of content you upload (resume, profile, application materials). However, by submitting content, you grant Vesta AI a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to:

  • Use, reproduce, modify, and display your content to provide the Platform services
  • Share your content with employers when you apply for jobs
  • Use interview data to train and improve our AI models
  • Create anonymized or aggregated data for analytics and improvement

8.3 Employer Control of Application Data

Once you submit an application to an employer, that employer controls your application data according to their own policies. We cannot control, modify, or delete data held by employers.

9. Job Postings and Employer Content

9.1 No Guarantee of Accuracy

Job postings are created and controlled by employers. We do not:

  • Verify the accuracy or completeness of job postings
  • Guarantee that jobs are legitimate or currently available
  • Endorse or recommend any employer or job opportunity
  • Control compensation, benefits, or working conditions

9.2 Due Diligence

You are responsible for:

  • Researching employers before applying
  • Verifying job details and legitimacy
  • Making your own decisions about job applications
  • Protecting yourself from scams or fraudulent postings

9.3 Reporting Issues

If you suspect a fraudulent job posting or employer misconduct, report it immediately to support@vestajobs.com. We will investigate and may remove postings or suspend employers, but we are not liable for employer conduct.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, VESTA AI DISCLAIMS ALL WARRANTIES, INCLUDING:

  • MERCHANTABILITY AND FITNESS: We make no warranty that the Platform is suitable for your purposes
  • AVAILABILITY: We do not guarantee uninterrupted or error-free service
  • ACCURACY: We do not guarantee accuracy of job postings, AI assessments, or Platform content
  • SECURITY: We do not guarantee that the Platform is completely secure or free from viruses
  • RESULTS: We make no guarantee regarding job offers, interviews, or employment outcomes

AI Performance Disclaimer

Any statements about AI accuracy, fairness, or predictive value are illustrative only. Actual AI performance varies by context and data quality. We make no guarantee that AI assessments will produce specific outcomes or that AI is completely free from bias or error.

11. Limitation of Liability

IMPORTANT LEGAL LIMITATION

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VESTA AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM.

This includes, but is not limited to, damages for:

  • Employment Outcomes: Lost job opportunities, failed applications, or hiring decisions
  • AI Assessments: Inaccurate or biased AI evaluations
  • Employer Conduct: Employer discrimination, harassment, or violation of employment laws
  • Data Issues: Loss, theft, or unauthorized access to your data
  • Platform Problems: Service interruptions, errors, or technical issues
  • Third Parties: Actions or omissions of employers or other users
  • Lost Opportunities: Missed deadlines, lost wages, or career setbacks

Maximum Liability: OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF (A) $100, OR (B) THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS (IF ANY).

Some jurisdictions do not allow limitation of liability for personal injury or certain damages, so these limitations may not fully apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Vesta AI, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorney fees) arising from:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of any laws or regulations
  • Your violation of any third-party rights (including employer rights)
  • Content you submit (resume, applications, profile)
  • False or fraudulent information you provide
  • Your conduct during AI interviews or interactions with employers

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of Puerto Rico and applicable United States federal law, without regard to conflict of law principles.

13.2 Mandatory Arbitration

Please read this carefully—it affects your legal rights.

Any dispute, claim, or controversy arising from or relating to these Terms or the Platform ("Dispute") shall be resolved through binding arbitration, not in court, except as follows:

  • Small claims court matters (under $10,000) may be brought in small claims court
  • Either party may seek injunctive relief in court for intellectual property infringement

The arbitration shall be conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitrator's decision is final and binding.

13.3 Class Action Waiver

YOU AND VESTA AI AGREE THAT DISPUTES MUST BE BROUGHT IN YOUR OR OUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, MULTIPLE PLAINTIFF, OR SIMILAR PROCEEDING. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

13.4 Employer Disputes

Disputes with employers are between you and the employer. Vesta AI is not a party to employer-candidate disputes. You must resolve employment-related disputes directly with employers.

14. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will:

  • Post the updated Terms on the Platform
  • Update the "Last Updated" date
  • Notify you via email or Platform notification (for significant changes)

Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform and close your account.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Vesta AI regarding the Platform.

15.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.

15.3 No Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

15.4 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.

15.5 Force Majeure

We are not liable for failure to perform due to causes beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or internet failures.

15.6 Survival

Provisions that by their nature should survive termination (including disclaimers, limitations of liability, indemnification, and dispute resolution) shall survive termination of these Terms.
